MSRP & Sales Agreement Practitioner may only sell Product of RegenX Naturals after it has been approved as a distributor of Product by RegenX Naturals. Practitioner understands and agrees that RegenX Naturals may at any time for any reason revoke Practitioner’s status as distributor of RegenX Naturals Product. This Agreement is between RegenX Naturals, LLC and the signed health care practitioner (“Practitioner”). Practitioner shall only display the Manufacturer’s Suggested Retail Price on their website or any other online or printed material. The price charged by RegenX Naturals to Practitioner shall not be revealed to the public in any format whatsoever. These prices are subject to change on a periodic basis without notice. Practitioner shall only post prices of Product behind a sign-in or login feature for patients to log into and then purchase Product via the Shopify portal provided by RegenX Naturals, and RegenX, LLC. In consideration of the mutual promises and covenants herein, RegenX Naturals and Practitioner (“Parties”) do hereby agree as follows: RegenX Naturals is the exclusive wholesale distributor of nutraceutical products (“Product”), and the Product requires exclusive distribution through a licensed healthcare practitioner. It is the intention of both parties to have RegenX Naturals sell and distribute Product to Practitioner for the benefit of Practitioner’s health care practice and patients (customers). Third-party internet sales are strictly prohibited. Third-Party Internet Sales is defined as the use of any and all electronic medium not owned by Practitioner for the sale of Product. This includes online auction sites, bid sites, and any other properties not owned by Practitioner. Practitioner understands and agrees to RegenX Naturals’ policy against all third-party internet sales of Product. Practitioner agrees to inform all its staff members and Product purchasers of the policy forbidding third-party internet sales. As valuable consideration for RegenX Naturals, and RegenX, LLCs’ agreement to supply Product to Practitioner, Practitioner acknowledges and agrees as follows, and Practitioner shall abide by this Policy and any modifications hereto which may, from time to time, be implemented by RegenX Naturals. Practitioner may only sell Product through its Shopify portal provided to it by RegenX Naturals. Practitioner may link to the Shopify portal via its own website which is owned by Practitioner. Practitioner may refer to RegenX, RegenX Naturals, and Product along with purchasing options on Practitioner’s own website. Practitioner shall not purchase “RegenX”, “RegenX Naturals” or the name of any of the products as google ad words, nor any other online advertising platform or service, including, but not limited to, Facebook, Yahoo Shopping, Amazon Ads, X (Previously known as Twitter), and Instagram. RegenX Naturals reserves the right to enforce its statutory rights to recover damages against Practitioner for trademark infringement. Patient Codes shall be given to Practitioner’s patients who are in direct contact with the Practitioner or their clinic. These patient codes will be used by patients to purchase Product through Practitioner’s assigned Shopify portal. Patient codes may no be marketed or publicly distributed. Any and all approvals referenced in this agreement may be revoked by RegenX Naturals at any time for any reason or no reason at all at RegenX Naturals’ discretion. Practitioner’s failure to comply with the conditions set forth in this agreement may result in termination of this agreement, and will subject Practitioner to all damages, costs, and fees available to RegenX Naturals under U.S. and Wisconsin law. Shipping and Handling Orders are shipped within three days of the time the order is placed. If an unforeseen delay causes it to take longer than three days to ship your order, you will be notified by email of the delay. Domestic A shipping fee is charged for all domestic deliveries calculated at checkout on orders of $500 or less. Shipping is free for all orders over $500. All deliveries sent via USPS are uninsured. Any issues concerning delayed delivery or lost delivery must be dealt with directly with the USPS. You may choose an expedited shipping option with FedEx or UPS. International All orders shipped outside the U.S. will be shipped via USPS, FedEx, or UPS and then transferred to your country’s delivery service. Shipping costs will be determined at the time the order to placed. Returns & Refunds To return an item, please call for assistance at 715-568-5059, Monday-Friday from 9:00 a.m. to 5:00 p.m. Central Time. Hours May vary. If a customer receives incorrect Product or Product that was damaged upon arrival, then please contact RegenX Naturals, and RegenX, LLC and we will make arrangements to return the incorrect or damaged product. Once the product has been returned, RegenX Naturals, and RegenX, LLC will ship the correct product or replacement product at our expense. If the customer desires a refund, they may opt to receive an in-house credit that will be applied to their next order. If a customer receives the correct product, it is undamaged upon arrival, and desires to return the product for a refund or an exchange, the shipping fees are not refundable. The customer is responsible for the shipping costs associated with the return product, unless other specific arrangements have been made and are agreed to by both RegenX Naturals, and RegenX, LLC and the customer. Once the product has been returned, the customer may opt for either RegenX Naturals, and RegenX, LLC to issue and ship an exchange for alternative product or they may opt to receive an in-house credit that will be applied to their next order. Product that has been received and opened, damaged after arrival, partially used and/or has a broken safety seal cannot be returned, exchanged or refunded unless other specific arrangements have been made and are agreed to by both RegenX Naturals, LLC and the customer. Practitioner Program Terms of Service By signing up for the RegenX Naturals, and RegenX, LLC Approved Practitioner Program (“Program”) you are agreeing to be bound by the following terms and conditions (“Terms of Service”). RegenX Naturals, and RegenX, LLC reserves the right to update and change the Terms of Service from time to time without notice. Continued use of the Program after any such changes shall constitute your consent to such changes. Please note that creation of an account with RegenX Naturals’ Approved Practitioners Program grants RegenX Naturals, and RegenX, LLC permission to keep you updated of promotions & policy changes. We have the right to terminate a practitioner account for any reason, anytime, at our discretion. Violation of any of the terms below will result in the termination of your account and forfeiture of any outstanding commission payments earned during the violation. GENERAL REQUIREMENTS FOR ACCEPTANCE: You must be a licensed practitioner in one of any number of functional, holistic, or other healthcare-related fields. You must be actively providing services to a client base either in situ or virtually You must be in compliance with our Terms of Service Health Coaches must hold a certification from The National Board for Health & Wellness Coaching (NBHWC) along with proof of an active private practice. ENROLLMENT: After receiving your application, we will review your information and notify you of your acceptance into our Program. Please allow up to 5-7 business days for your application to be reviewed. You may not use our trademarked terms in sequence with any other keyword (i.e. “RegenX Naturals Coupons”). You may not use our trademarked terms in your ad title, ad copy, display name or as the display URL. TRADEMARK TERMS RegenX Naturals, RegenX, RegenXnaturals.com and the names of all Products COUPON GUIDELINE: You may not use a coupon or offer sites to promote our program that offer product at lower than MSRP prices. You may not advertise any discount that could be applied in the “My Customers” tab of the account page as a way to attract new clientele or patients. Your patient direct code is not a coupon code and cannot be marketed as such. Publicly marketing and displaying your patient direct code via any social media channel is strictly prohibited. EMAIL: If you intend to promote our Program via e-mail campaigns, you must adhere to the following: Abide by the CAN-SPAM Act of 2003 (Public Law No. 108-187) with respect to our Program. Adhere to current GDPR regulations (for doing business in Europe) REVERSAL & COMMUNICATION POLICY: We reserve the right to reverse orders due to order cancellations, duplicate tracking, returns, disputed charges, and program violations as outlined in these terms and conditions.
